Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Aperture products. Aperture offers two products operated by two affiliated Wyoming limited liability companies: (1) the analytics platform, operated by Aperture Tools, LLC, and (2) the trading terminal, associated wallet functionality, and on-chain swap execution services (collectively, the "Trading Services"), operated by Aperture Labs, LLC. Each operating company is a "Provider," and references to "we," "us," or "our" mean the Provider of the product you are using.

These Terms consist of the General Terms below, which apply to all Aperture products, plus product-specific Supplements. The Supplement for a product applies in addition to the General Terms whenever you use that product. If a Supplement conflicts with the General Terms, the Supplement controls for that product. By creating an account or using any Aperture product, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the products.

General Terms

Applies to all Aperture products.

Acceptance and Eligibility

By accessing or using any Aperture product, you confirm that you are at least 18 years old, that you have the legal capacity to enter into these Terms, that you are not a Prohibited Person (defined below), and that you will comply with these Terms. If you use a product on behalf of an entity, you represent that you are authorized to bind that entity to these Terms.

Prohibited Jurisdictions and Sanctions

You must not be a "Prohibited Person" to use the products. A Prohibited Person is any person or entity that is (a) the subject of any economic or trade sanctions administered or enforced by any governmental authority, including any party designated on the U.S. Treasury Department's list of Specially Designated Nationals, the U.S. Department of Commerce Denied Persons or Entity List, the E.U. Consolidated List, or the U.K. Consolidated List of Financial Sanctions Targets; (b) located in, a resident of, or organized under the laws of any jurisdiction subject to comprehensive economic sanctions or designated as terrorist-supporting by the United Nations, the European Union, the United Kingdom, or the United States; or (c) owned or controlled by any such person or entity.

You are solely responsible for complying with all laws of the jurisdiction from which you access the products. Using a VPN or other technique to disguise your location or circumvent these restrictions is strictly prohibited and may result in immediate termination of access. We may restrict availability of the products to any person, region, or jurisdiction at our sole discretion and at any time, without liability to you.

Accounts

You are responsible for keeping your account credentials confidential and for all activity under your account, whether or not you authorized it. You agree to provide accurate registration information and to notify us immediately at support@aperturetools.com if you suspect unauthorized access. We may suspend or terminate your access at any time, for any reason, at our sole discretion, including if you provide false information or fail to meet the eligibility criteria in these Terms.

Prohibited Use

You agree not to use any Aperture product to:

  • Violate any applicable law or regulation, or facilitate any illegal activity
  • Launder money, finance terrorism, evade sanctions, or commit fraud
  • Engage in market manipulation, including pump-and-dump schemes, wash trading, self-trading, spoofing, layering, quote stuffing, or front-running
  • Disguise your location by VPN, proxy, or other means to bypass eligibility restrictions
  • Scrape or extract data, or use bots or other automated means to access the products, without authorization
  • Submit data you do not have the right to submit
  • Interfere with, disrupt, overburden, or attempt to gain unauthorized access to the products or any connected system, wallet, account, or network
  • Reverse engineer, decompile, or attempt to derive the source code of the products, except as permitted by law
  • Introduce malware or any harmful code, or harass, defraud, or harm others

We may suspend or terminate your account for any prohibited conduct, at our sole discretion.

Feedback and Intellectual Property

The applicable Provider owns or licenses all content, design, code, and branding in the Aperture products, and you may not copy, modify, or use them without our written permission. We grant you a limited, personal, non-transferable right to use the products solely as permitted by these Terms. You retain ownership of the notes and journal entries you create. If you provide feedback or suggestions, you grant us a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use it for any purpose without obligation to you.

Warranty Disclaimer

The products are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including any implied warranties of title, merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the products will be uninterrupted, error-free, secure, or accurate. Your use of the products is at your own risk.

Limitation of Liability

To the fullest extent permitted by law, no Provider, nor its affiliates, officers, directors, employees, or agents, shall be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, digital assets, data, or trading losses, whether based in contract, tort, or any other theory, arising from or relating to your use of the products, even if advised of the possibility of such damages. The maximum aggregate liability of each Provider is set out in the applicable Supplement below, and in no event will one Provider be liable for the products or conduct of the other.

Indemnification

You agree to indemnify, defend, and hold harmless each Provider and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to your use of the products, your reliance on any data or calculations they provide, your violation of these Terms, or your violation of any law or the rights of any third party.

Changes to Terms and Products

We may modify these Terms or the products at any time. The "Last updated" date above will reflect changes, and we will use reasonable efforts to notify you of material changes. Your continued use of the products after changes become effective constitutes acceptance.

Dispute Resolution

Before bringing any legal action arising out of or relating to these Terms or the products, you agree to first attempt to resolve the dispute informally by contacting us at support@aperturetools.com and engaging in good-faith negotiations for at least sixty (60) days from the date of written notice. Many disputes can be resolved this way without litigation.

To the fullest extent permitted by applicable law, any claim arising out of or relating to these Terms or the products must be filed within one (1) year after the claim arose; otherwise, the claim is permanently barred.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the products shall be brought in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.

Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Providers regarding the products and supersede all prior agreements and communications.

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision or of any other.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Survival. Provisions that by their nature should survive termination — including the disclaimers, limitation of liability, indemnification, assumption of risk, tax, and governing-law provisions — will survive termination of your access to the products.

Analytics Platform Supplement

Operated by Aperture Tools, LLC. Applies when you use the analytics platform, in addition to the General Terms.

Description of Service

The analytics platform lets you connect wallet addresses to analyze trade history, profit and loss, and portfolio performance. A free tier includes core analytics and paper trading; paid plans (Pro and Max) unlock full trade history, unlimited PnL tracking, the trade journal, and — on Max — multi-wallet analytics. We may modify, suspend, or discontinue any part of the service at any time.

Subscriptions and Billing

Paid subscriptions (currently Pro and Max) are billed monthly and renew automatically through our payment processor. By subscribing, you authorize us to charge your payment method each month until you cancel.

You may cancel at any time through the billing portal in your account settings. Cancellation takes effect at the end of your current billing period, and you keep paid access until that date. We do not offer partial refunds for unused time within a billing period.

Some users may be granted access directly by the Aperture team outside of the standard billing flow. Access terms for these users are determined on a case-by-case basis.

We reserve the right to change pricing with reasonable advance notice. Continued use of the platform after a price change constitutes acceptance of the new pricing.

Not Financial Advice

The analytics platform is an analytics and journaling tool. Nothing on the platform constitutes financial, investment, tax, or legal advice. All data and calculations are for informational purposes only. On-chain and market data is sourced from third-party providers and we do not guarantee its accuracy, completeness, or timeliness. PnL calculations, fee breakdowns, and other figures are estimates based on on-chain data and may contain errors or omissions. Do not rely on the platform for tax preparation, regulatory reporting, or any financial decision-making without independent verification.

Limitation of Liability (Analytics)

The total aggregate liability of Aperture Tools, LLC for any claim arising from or relating to the analytics platform shall not exceed the total amount of fees you paid to Aperture Tools, LLC in the 90 days preceding the event giving rise to the claim.

Trading Terminal Supplement

Operated by Aperture Labs, LLC. Applies when you use the Trading Services, in addition to the General Terms.

Closed Alpha Notice

The Trading Services are currently offered as a closed alpha to a limited group of users. Access is granted at our sole discretion and is non-transferable. The Trading Services are provided on an "as-is" and "as-available" basis for the purpose of evaluating early features and infrastructure. Pre-release features may contain bugs, errors, or vulnerabilities that can cause failures, disruptions, downtime, data corruption, or loss of digital assets. We may add, modify, suspend, or remove any feature at any time without notice. Your use of the Trading Services during this period is entirely at your own risk.

Nature of the Services

The Trading Services provide a non-custodial interface that helps you construct, sign, and broadcast your own transactions to third-party decentralized exchanges, protocols, and smart contracts on the Solana blockchain. You acknowledge and agree that: (i) Aperture Labs is not a broker, dealer, exchange, money services business, financial institution, or fiduciary; (ii) the Trading Services are not an exchange or broker, but a conduit to third-party infrastructure that you direct; (iii) all trades are executed by independent third-party protocols that Aperture Labs does not own or control; and (iv) Aperture Labs does not hold, take custody of, or take possession of your Digital Assets at any time. We do not initiate transactions on your behalf; every transaction is constructed from parameters you select and authorized by you.

Non-Custodial Wallets and Keys

The Trading Services are non-custodial. The private key(s) (the "Keys") that control your wallet are generated and held only in encrypted form within secured, hardware-isolated infrastructure (secure enclaves). The Keys are never available to Aperture Labs, its personnel, affiliates, or any third party in unencrypted form, and Aperture Labs does not custody your tokens, cryptocurrencies, or other blockchain-based digital assets (collectively, "Digital Assets"). It is your sole responsibility to maintain access to and secure your Digital Assets.

You may export your Keys at any time, and you are strongly urged to do so and to retain a copy in a secure location independent of the platform. Your Keys may be the only way to restore access to your Digital Assets if you lose access to your account. Anyone who obtains your Keys can access, transfer, or spend your Digital Assets. Aperture Labs does not retain unencrypted copies of your Keys and cannot guarantee the permanence or availability of the encrypted key storage, and therefore cannot assist you in recovering your Digital Assets if you lose your Keys or your account access.

You acknowledge and agree that: (a) your Digital Assets are held and used at your own risk; (b) Aperture Labs does not guarantee the security, availability, permanence, or uninterrupted operation of the wallet, key storage, or transaction-signing infrastructure; (c) you are solely responsible for all transactions authorized through your account, including transactions you did not intend; and (d) to the fullest extent permitted by law, Aperture Labs shall not be liable for any loss of Digital Assets arising from lost Keys, compromised or stolen credentials, phishing, social engineering, smart-contract failure, network conditions, or any hack, exploit, or attack on the storage or signing systems.

You agree to hold Aperture Labs and its affiliates, officers, employees, and agents harmless, and agree that no such party shall be liable in any way, if you lose your Keys and cannot access your Digital Assets, or if your Keys or credentials are obtained by another person who misuses your Digital Assets.

Know Your Customer and Anti-Money Laundering

At our sole discretion, or where required by applicable law, we may perform "Know Your Customer" (KYC) and "Anti-Money Laundering" (AML) verifications. You agree to promptly provide any information or documentation we reasonably request for this purpose, which may include government identification, proof of address, or similar records. We may deny or suspend access until such information is provided, or where available information suggests use of the Trading Services in connection with money laundering, terrorist financing, fraud, or other illegal activity, and we may share information with regulatory authorities as required by law.

Fees

Use of the Trading Services may incur fees, including (a) a platform fee charged by Aperture Labs, (b) Solana network and priority fees, and (c) fees charged by the third-party decentralized exchanges and protocols through which swaps are routed. Estimated total costs are displayed when you initiate a transaction.

Prices, exchange rates, slippage, and fee estimates shown in the Trading Services are approximations and are not guaranteed. Actual execution prices and costs may differ, sometimes materially, due to network conditions and the behavior of the underlying protocols, which we do not control. We are not responsible for any difference between displayed and actual execution prices, or for any fees incurred in connection with failed or delayed transactions.

Taxes

You are solely responsible for determining, reporting, and paying any taxes that apply to your transactions and digital-asset activity, including income, capital gains, and any other applicable taxes. Aperture Labs does not withhold taxes on your behalf, does not provide tax advice, and does not file or report tax information for you. You agree to hold Aperture Labs harmless from any claim, penalty, or liability arising from your failure to comply with applicable tax laws.

Third-Party Protocols and Services

The Trading Services route swaps through third-party decentralized exchanges, protocols, and infrastructure providers, which may include PumpFun, PumpSwap, Raydium, Jupiter, and others (collectively, "Third-Party Protocols"). We do not own, operate, control, or endorse any Third-Party Protocol. Your interaction with a Third-Party Protocol is governed by that protocol's own terms, and we make no representations as to its security, accuracy, availability, or conduct. You accept all risks associated with Third-Party Protocols, including risks of illiquidity, devaluation, lockup, slippage, or total loss, and you irrevocably waive any claim against Aperture Labs arising from your use of them.

No Professional Advice; No Fiduciary Duty

The Trading Services are execution tools only. Nothing provided through the Trading Services constitutes financial, investment, tax, legal, or other professional advice, an offer or solicitation to buy or sell any asset, or a recommendation regarding any token, strategy, or protocol. By using the Trading Services, you agree that you are not entering into an advisory or fiduciary relationship with Aperture Labs. You are solely responsible for determining the suitability of any transaction for your own circumstances and for all financial and tax consequences. Seek independent, qualified professional advice before making any decision.

Assumption of Risk

You represent that you have sufficient knowledge and experience with blockchain technologies, digital assets, and self-custody to assess the risks of the Trading Services, and that you accept those risks, including the risk of losing all amounts transacted. Risks include, without limitation: volatility and potential total loss of value; loss of access to digital assets due to lost keys or credentials; smart-contract bugs, exploits, and vulnerabilities; mining or consensus attacks; phishing and security breaches; network congestion, downtime, forks, and protocol changes; slippage and unfavorable execution; failed or delayed transactions; and adverse or uncertain regulatory or tax treatment. You further acknowledge that many tokens accessible through the Trading Services — including newly issued, low-liquidity, or "meme" tokens — are highly speculative, may be created or manipulated by malicious actors, and may rapidly lose all value or become impossible to sell (including through "rug pulls," honeypots, or abandoned projects). You alone are responsible for evaluating any token before transacting.

Digital assets are not deposits, are not guaranteed by any bank, and are not insured by the FDIC or any other governmental agency. Blockchain transactions, once submitted, generally cannot be reversed or canceled; we cannot reverse a transaction submitted to a public blockchain. You are solely responsible for the accuracy of the transactions you authorize, and we are not responsible for losses arising from your errors.

Force Majeure

Except for payment obligations, neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, pandemics, war, terrorism, denial-of-service attacks, internet or infrastructure outages, blockchain network failures, or governmental action.

Limitation of Liability (Trading)

The total aggregate liability of Aperture Labs, LLC for any claim arising from or relating to the Trading Services shall not exceed the total amount of fees you paid to Aperture Labs, LLC for the Trading Services in the 30 days preceding the event giving rise to the claim.
